Terms of Service
These Terms of Service (hereinafter, the “Terms”) set forth the conditions for using the “Socionics Membership Service” (hereinafter, the “Service”) provided by the Japan Socionics Association (hereinafter, the “Association”). The Terms apply to all customers who use the Service. Please read these Terms carefully before using the Service.
Article 1 (Consent to the Terms)
- 1. These Terms apply to all relationships regarding the use of the Service between members and the Association.
- 2. Members must use the Service in accordance with these Terms and may not use the Service unless they agree to these Terms.
- 3. When a member agrees to these Terms and completes member registration, a service use agreement pursuant to these Terms (hereinafter, the “Use Agreement”) is deemed concluded between the member and the Association.
Article 2 (Revision and Changes to the Terms)
- 1. The Association may change the content of these Terms after prior notice to members.
- 2. If a member continues to use the Service (including logging in to the Service or viewing information displayed on the Service website) after the Terms are changed, the Association will deem that the member agrees to the revised Terms.
- 3. Members are responsible for checking the latest version of the Terms from time to time and using the Service accordingly.
Article 3 (Member Registration)
- 1. A person who wishes to use the Service shall register as a member by agreeing to comply with these Terms and providing the information specified by the Association in the manner designated by the Association.
- 2. The Association may refuse registration or restrict use if any of the following applies:
- (1) The applicant is a minor, an adult ward, a person under curatorship, or a person under assistance and has not obtained consent from a legal representative, guardian, curator, or assistant.
- (2) Any of the information provided to the Association at the time of registration is false, erroneous, or incomplete.
- (3) The applicant has been or is currently subject to suspension of use of the Service.
- (4) The applicant has previously failed to fulfill obligations under the Use Agreement or any other contract with the Association, or the Association judges that there is a risk of failing to fulfill obligations under the Use Agreement.
- (5) The Association judges that the applicant falls under Item 9 of Paragraph 1 of Article 9.
- (6) Any other case in which the Association deems registration inappropriate.
Article 4 (Use by Minors)
- 1. Minors must obtain the consent of their legal representative (e.g., a parent or guardian) before applying for membership and using the Service or performing any act related thereto.
- 2. If a member who was a minor at the time of consenting to these Terms continues to use the Service after reaching the age of majority, such use shall be deemed a ratification of all legal acts related to the Service.
Article 5 (Use of the Service)
Members may use the Service within the scope of the purposes set forth in these Terms and in accordance with the methods prescribed by the Association. Other details regarding use of the Service shall be as provided on https://socionics.or.jp/.
Article 6 (Account Management)
- 1. Members shall manage and store their user IDs and passwords for the Service (hereinafter, “Account”) at their own responsibility, and shall not allow third parties to use, lend, transfer, change the name of, or sell their Account. If the Association confirms that an Account matches, the Association will deem the registered member holding that Account to have used the Service.
- 2. Members are responsible for any damage due to insufficient management of their Account or use by a third party, and the Association assumes no responsibility.
- 3. If a member discovers that their Account has been stolen or used by a third party, the member shall immediately notify the Association and follow the Association’s instructions.
Article 7 (Handling of Member Information)
- 1. When sending information about themselves or other information requested by the Association in connection with the use of the Service (collectively, “Member Information”), members must provide true and accurate information.
- 2. If there is an error in the Member Information or if it changes, members shall promptly correct or update the Member Information.
- 3. The Association will appropriately handle Member Information and other information collected from members regarding use of the Service in accordance with the Privacy Policy separately established by the Association, and members agree to such handling.
Article 8 (Prohibited Acts)
In using the Service, members shall not engage in any of the following acts themselves or through third parties, and shall not directly or indirectly cause or facilitate any of the following acts.
- (1) Acts that violate laws or public order and morals.
- (2) Acts that induce malfunctions of the Service.
- (3) Acts that violate laws, court judgments, decisions or orders, or legally binding administrative measures, or that encourage such violations, or are likely to do so.
- (4) Disassembling, decompiling, reverse engineering, or otherwise analyzing the source code of the Service.
- (5) Unauthorized access to systems connected to the Service, or unauthorized alteration or deletion of information stored on Association facilities.
- (6) Reproducing, transferring, lending, or modifying the Service.
- (7) Impersonating the Association, other members, or third parties.
- (8) Using another member’s Account.
- (9) Acts contrary to the purpose and intent of these Terms and the Service.
- (10) Any other acts that the Association deems inappropriate.
Article 9 (Measures for Violations of the Terms)
- 1. If the Association determines that a member falls under or is likely to fall under any of the following items, the Association may, at its discretion and without notice, take measures including temporary suspension or restriction of use of the Service, deletion of the Account, or termination of the Use Agreement (collectively, “Suspension Measures”).
- (1) The member violates any provision of these Terms.
- (2) The member delays or fails to pay fees for the Service or other amounts owed to the Association (including cases where credit card payment fails).
- (3) It is found that any of the information provided to the Association contains falsehoods.
- (4) The member has died or has been placed under guardianship, curatorship, or assistance.
- (5) It is found that the member is under 20 years of age and has not obtained the consent of a legal representative, guardian, curator, or assistant.
- (6) The member suspends payments or becomes insolvent, or a petition is filed for commencement of bankruptcy, civil rehabilitation, or similar proceedings.
- (7) The member fails to respond for 30 days or such period as otherwise specified by the Association to inquiries or other communications seeking a response from the Association.
- (8) The member has previously been subject to Suspension Measures regarding use of the Service or is currently subject to such measures.
- (9) The Association determines that the member is an antisocial force or is involved with antisocial forces through funding or other means, or engages in any interaction or involvement with antisocial forces.
- (10) The Association determines that such measures are necessary for the operation or maintenance of the Service.
- (11) Any other circumstances similar to the foregoing as determined by the Association.
- 2. Even after Suspension Measures, the member shall not be released from any and all obligations and liabilities under the Use Agreement to the Association or third parties (including, but not limited to, liability for damages).
- 3. The Association shall not be liable for any damages incurred by members due to actions taken by the Association pursuant to this Article, and may continue to retain and use information obtained regarding the relevant member even after Suspension Measures.
- 4. If the Association determines that a member falls under or is likely to fall under any of the items in Paragraph 1, or otherwise deems it necessary, the Association may demand that the member cease the violating act, and the member shall comply within the period specified by the Association.
Article 10 (Termination of Use)
Members may terminate use of the Service by deleting their Account or by other methods prescribed by the Association. A member who has terminated use will no longer be able to use the Service from the time of termination.
Article 11 (Changes, Suspension, or Termination of the Service)
- 1. The Association may change or add to all or part of the content of the Service without prior notice to members.
- 2. The Association may, at its discretion, terminate the Service by giving prior notice to members through postings on the Service or by other methods the Association deems appropriate. However, in urgent cases, the Association may terminate the Service at its discretion without notice to members.
- 3. If any of the following events occurs, the Association may temporarily suspend all or part of the Service without prior notice to members:
- (1) When performing periodic or emergency maintenance or repair of communication equipment or other facilities for the Service.
- (2) When the system is overloaded due to excessive access or other unforeseen factors.
- (3) When it becomes necessary to ensure member security.
- (4) When services of telecommunications carriers are not provided.
- (5) When provision of the Service becomes difficult due to force majeure such as natural disasters.
- (6) When provision of the Service becomes difficult due to fire, power outage, other unforeseen accidents, war, conflict, disturbances, riots, or labor disputes.
- (7) When operation of the Service becomes impossible due to laws or measures based thereon.
- (8) Other cases deemed necessary by the Association similar to the foregoing.
- 4. The Association shall not be liable for any damages incurred by members due to actions taken by the Association pursuant to this Article.
Article 12 (Damages)
- 1. If the Association suffers direct or indirect damages arising from a member’s violation of these Terms or from use of the Service (including cases where the Association receives claims for damages or other claims from third parties due to such acts), the member shall compensate the Association for all such damages (including attorneys’ fees and the equivalent of personnel costs incurred by the Association in dealing with the matter).
- 2. The Association shall not be liable for any damages suffered by members in connection with the use of the Service. However, if the Use Agreement constitutes a consumer contract, the Association shall compensate only for ordinary damages suffered by the member due to the Association’s negligence (excluding gross negligence), up to the total amount of product fees received by the Association at the time of the member’s claim, and shall not be liable for lost profits or other special damages.
Article 13 (Disclaimer of Warranties and Limitation of Liability)
- 1. Except as expressly provided in these Terms, the Association makes no warranties regarding products, the Service, or any information displayed on the Service, including fitness for a particular purpose, merchantability, accuracy, usefulness, completeness, legality, conformity with internal rules of organizations applicable to members, absence of security defects, errors, bugs, or malfunctions, or non-infringement of third-party rights.
- 2. The Association does not warrant that the Service is compatible with all information devices, and members acknowledge that malfunctions may occur in connection with OS version upgrades of devices used to access the Service. The Association does not warrant that such malfunctions will be resolved by program corrections or other measures taken by the Association.
Article 14 (Prohibition of Assignment of Rights and Obligations)
- 1. Except with the prior written consent of the Association, members may not assign, succeed to, create a security interest in, or otherwise dispose of their rights or obligations under the Use Agreement or their status thereunder to any third party.
- 2. If the Association transfers the business related to the Service to a third party, or if the Service-related business is succeeded to comprehensively through a merger or corporate split in which the Association is the dissolving or splitting company, the Association may transfer to the transferee or successor its status, rights, and obligations under the Use Agreement and Member Information and other information related to members, and members shall be deemed to have consented to such transfer in advance.
Article 15 (Severability)
- 1. Even if any provision of these Terms or part thereof is judged invalid or unenforceable under the Consumer Contract Act or other laws and regulations, the remaining provisions or parts other than such invalid or unenforceable portion (the “Invalid Portion”) shall continue in full force and effect. The Association and the members shall modify the Invalid Portion to the extent necessary to make it lawful and enforceable and endeavor to ensure the intent of the Invalid Portion and the same legal and economic effect.
- 2. Even if any provision of these Terms or part thereof is judged invalid or unenforceable with respect to a certain member, the validity of the provisions with respect to other members shall not be affected.
Article 16 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan. Any and all disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
